Terms of use

Welcome to Sircle! Please take a moment to read this Terms of Use Agreement ("Agreement") carefully. The Sircle mobile application (the "App") and its features are managed by Sircle Social, Inc. ("Sircle," "we," "our," or "us"). This Agreement governs your use of the App and applies to all individuals using the App in any capacity, including its features.

 

By clicking "I Accept," downloading the App, or using the App in any way, you confirm that:

  1. You have read, understood, and agree to these Terms of Use.

  2. You are of legal age to form a binding contract with Sircle, or, if required by law, have parental consent to enter into this Agreement.

  3. You have the authority to enter into these Terms of Use.

 

If you disagree with any part of this Agreement, you should not use the App.

Please note that Section 14 contains provisions regarding how disputes will be resolved, including binding arbitration, and waives your right to participate in class actions.

1. Use of the App

1.1. Definitions

  • App User: An individual who has downloaded and is using the App under this Agreement.

  • Location Data: Data collected from your device (such as GPS or Bluetooth) that shows your location, which you can choose to share within the App.

  • User Data: Any data generated or provided by you, including Location Data and Registration Data.

1.2. App Overview
Sircle helps you connect with people in your contacts and discover new users through mutual connections. By syncing your contact list or using other features, you can share your interests, location, and more with your contacts, and vice versa.

1.3. License to Use the App
The App, including its content and features, is protected by copyright. By using the App, we grant you a non-transferable, non-exclusive license to use it on your personal device. The App may also include open-source software, and its use will be governed by separate open-source licenses.

1.4. Updates
Sircle may periodically release updates to improve functionality. You can choose to install updates, but we do not require you to do so to continue using the App. Some features might require third-party software updates.

1.5. User Data Responsibility
Sircle is not responsible for the deletion, accuracy, or security of your User Data. It's your responsibility to ensure that your data is accurate and secure.

 

2. Ownership

2.1. Ownership of the App and User Data
Except for your User Data, Sircle owns all rights to the App and its content. You grant us a global, perpetual license to use, modify, and display your User Data within the scope of our services.

2.2. Trademarks
Sircle’s name, logo, and all related trademarks are our property. You may not use these trademarks without our permission.

 

3. Account Registration

3.1. Account Creation
To access certain features, you may need to create an account. You must be at least 13 years old to register. By registering, you confirm that you are eligible to do so.

3.2. Account Information
You agree to provide accurate and up-to-date information during registration and to update it when necessary.

3.3. Responsibility for Account Security
You are responsible for all activities that occur under your account. If you believe your account is compromised, please notify us immediately.

3.4. Equipment and Software
You must provide the necessary devices and software to use the App. Any fees associated with using the App (such as internet charges) are your responsibility.

 

4. Collection and Use of Data

4.1. Personal Data Collection
The App may collect personal information, including Location Data and registration details. This data is governed by our Privacy Policy. You can control your data sharing preferences through the App’s settings.

4.2. Data Visibility
You can control who sees your User Data. However, we are not liable for any consequences resulting from how you share your information with others.

4.3. License to User Content
You retain ownership of your content but grant Sircle a license to use, display, and modify your User Content in connection with providing our services.

4.4. Enforcement of Terms
Sircle reserves the right to review and take action against any User Content that violates our Terms of Use, including suspending accounts or reporting to authorities if necessary.

 

5. User Conduct and Restrictions

You agree not to use the App for unlawful or prohibited activities. This includes actions such as:

  • Commercial exploitation of the App.

  • Impersonation or fraudulent activities.

  • Posting offensive or harmful content.

  • Violating any intellectual property rights.

 

6. Feedback

By providing feedback to Sircle, you grant us a perpetual, worldwide license to use that feedback without compensation.

 

7. App Stores

If you download the App from an App Store, you acknowledge that this Agreement is between you and Sircle, not the App Store. You must comply with all applicable App Store terms.

 

8. Indemnification

You agree to indemnify and hold Sircle harmless from any claims arising from your use of the App or violation of this Agreement.

 

9. Disclaimers

9.1. No Warranty
The App is provided “as is,” without any guarantees. We disclaim all warranties related to the App’s functionality, availability, or accuracy.

9.2. Limitation of Liability
Sircle is not liable for indirect, incidental, or consequential damages arising from your use of the App.

 

10. Arbitration

By using the App, you agree to resolve disputes through binding arbitration instead of going to court. This includes all disputes related to this Agreement or the App.

 

11. Termination

11.1. Termination by You
You can terminate this Agreement by deleting your account and uninstalling the App.

11.2. Termination by Us
Sircle can terminate your access to the App if you violate the terms of this Agreement.

 

12. International Use

The App is controlled by Sircle from the United States. You are responsible for complying with local laws when accessing the App from outside the U.S.

 

13. General Provisions
These include governing laws, confidentiality of communications, and terms of modification.
